Principles of Company Law in Uganda

This book examines the fundamental principles which underlie company law first explored in the English case of Salomon. It explores the nature of company and what goes on behind the corporate veil; the duties and liabilities of directors; articles of association and memorandum of association; issues of authority; shareholders’ rights and remedies; corporate insolvency rules and corporate governance principles. It focuses on the Partnership Act, 2010, Insolvency Act, 2011, the Companies Act, 2012 and relevant decided court cases.
